Stackgenie Terms of Service

These Terms of Service ("Terms") are an agreement between you (the business or person using Stackgenie — "you," "your," "Customer") and Big Brands Inc. of 9845 70 Street SE, Unit #110, Calgary, Alberta T2C 5X4, Canada ("Stackgenie," "we," "us"). By creating an account or using the Stackgenie website or application (the "Service"), you agree to these Terms. If you don't agree, don't use the Service.
1. Who can use Stackgenie
Stackgenie is a business tool. By using it you confirm you are using it for business or professional purposes, you are at least 18 (or the age of majority where you live, if higher), and — if you accept on behalf of a company — that you have authority to bind that company.
2. The Service and the plans
Stackgenie helps you manage your company's software stack — inventory, renewals, spend insights, access/offboarding tracking, receipt capture, and exports.
- Free tier: available with no card. Your first ten tools stay live; beyond the plan limit, records become read-only — they are not deleted.
- Pro tier: $39/month (or the annual price of $390/year), billed through Stripe. Pro unlocks the paid features described on our pricing page.
We may improve, change, or discontinue features. We won't materially reduce a feature you're paying for without notice.
3. Free trial
Pro is offered with a 14-day free trial that unlocks after you load your stack. No card is required to start the trial. At the end of the trial, you stay on the Free tier unless you choose to upgrade — we do not auto-charge you at the end of a no-card trial.
4. Billing, renewal, and cancellation
- Auto-renewal. Once you upgrade to Pro, your plan renews automatically — monthly plans each month, annual plans each year — at the then-current price, until you cancel.
- Cancel anytime, no lock-in. You can cancel at any time from the Stripe customer portal, which you reach from within the app. Cancellation stops future billing; your paid access continues through the end of the period you've already paid for. There are no contracts and no cancellation fees.
- After cancellation. Pro features lock; your first ten tools stay live and the rest go read-only; your history is retained, not deleted. You can export your full stack and savings ledger as CSV or PDF on the way out.
- Price changes. We may change our prices. For existing subscribers, any price change applies to renewals only and we'll give you at least 30 days' advance notice by email before it takes effect; you can cancel before then.
- Taxes. Prices are exclusive of taxes; you're responsible for any applicable sales/use/GST/HST/VAT, which may be added at checkout.
5. 30-day money-back guarantee
If Pro isn't worth it, email us within 30 days of your first Pro payment and we'll refund that payment in full.
- The window runs 30 days from your first Pro charge (monthly or annual). For an annual plan, the full $390 is refundable within that window.
- The guarantee applies to your first Pro purchase, not to later renewals.
- To claim it, email support@stackgenie.co within the window. We process the refund to your original payment method through Stripe; depending on your bank or card issuer, it can take several business days to appear.
- Separately, you can cancel anytime from the Stripe customer portal to stop future renewals (see Section 4) — cancelling and requesting a refund are different things.
This guarantee is in addition to any rights you have under applicable law that cannot be waived.
6. Your content and the data you upload ("Customer Data")
You own your Customer Data. You grant us only the limited rights needed to host, process, secure, back up, and display it back to you so we can provide the Service. We don't use your Customer Data for our own purposes, to build profiles, or to train models, and we never sell it.
6.1 People records and third-party personal data — your responsibility
Stackgenie lets you create people records about your colleagues and employees (name, email, role/title) to track tool ownership and access. For the personal data of other people that you put into Stackgenie, you are the controller and we are your processor. You represent and warrant that:
- you have the right and any necessary authority, basis, or consent to provide that personal data to us and to have it processed through the Service;
- you have given those individuals any privacy notices the law requires; and
- you will handle requests from those individuals (access, correction, deletion) as the controller, and we will support you using the Service's tools and on reasonable request.
6.2 Data-processing terms (our DPA)
For Customer Data that is personal information, this Section 6.2 forms our data processing agreement and applies in addition to our Privacy Policy. Acting as your processor, we will:
- process Customer Data only to provide the Service and on your documented instructions (these Terms and your use of the Service being such instructions);
- keep Customer Data confidential and require our staff and sub-processors to do the same;
- apply the security measures described in our Privacy Policy (including HTTPS in transit and row-level tenant isolation);
- use only the sub-processors listed in our Privacy Policy to process Customer Data, and update that list before adding or changing one;
- assist you, taking into account the nature of processing, in responding to individuals' requests and in meeting your security and breach-notification obligations, and notify you without undue delay if we become aware of a breach affecting your Customer Data;
- on termination, delete or return Customer Data as described in the Privacy Policy retention section, except where law requires retention.
If your organization requires a separate signed data processing agreement, email support@stackgenie.co and we will make our standard DPA available.
6.3 Acceptable use
You agree not to use Stackgenie to break the law, infringe others' rights, upload malware, attempt to breach our security or another tenant's data, resell or provide the Service to third parties except as intended, or upload data you have no right to upload.
7. Your account and security
You're responsible for keeping your login credentials safe and for activity under your account. Tell us promptly at support@stackgenie.co if you suspect unauthorized use. Authentication is provided through Supabase Auth.
8. Our intellectual property
The Service, including its software, design, and branding, belongs to Stackgenie and its licensors. These Terms don't give you any rights in it except the right to use the Service under these Terms.
9. Third-party services
The Service runs on, and integrates billing through, third parties (including Supabase, Vercel, Stripe, Resend, and ImprovMX). Their handling of data is governed by their own terms; we're not responsible for third-party services beyond our own obligations to you.
10. Disclaimers
The Service is provided "as is" and "as available." Stackgenie gives you insights and reminders to help you manage your stack, but you remain responsible for your own renewal, cancellation, financial, and offboarding decisions. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the Service will be uninterrupted or error-free. Nothing in these Terms limits any warranty or condition that cannot be excluded under applicable law.
11. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- Our total liability for any claim relating to the Service is capped at the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) CAD $100.
These limits don't apply to liability that cannot be limited by law.
12. Indemnity
You'll defend and indemnify Stackgenie against third-party claims arising from your misuse of the Service, your breach of these Terms, or personal data you uploaded that you had no right to provide (including your colleagues'/ employees' data).
13. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms (with notice and a chance to cure where practical) or where required by law. On termination, the data-handling described in our Privacy Policy applies, and you can export your data as described above.
14. Changes to these Terms
We may update these Terms. For material changes we'll update the "Last updated" date and give reasonable notice (by email or in-app) before they take effect. Continuing to use the Service after that means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You and Stackgenie submit to the courts of Alberta, except where applicable law gives you the right to bring a claim elsewhere.
16. General
These Terms (with the Privacy Policy and Cookie Notice) are the whole agreement between us about the Service. If any part is unenforceable, the rest stays in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign yours without our consent. Our failure to enforce a term isn't a waiver.
